Steven Ramos practices primarily in the areas of business, banking, and estate planning. Mr. Ramos routinely works with banks and other financial institutions on secured transactions and commercial finance issues, including conventional and asset-based lending. In addition, he acts as Louisiana counsel for out-of-state lenders in transactions involving Louisiana companies or collateral, and has provided numerous opinions in that capacity. Mr. Ramos also advises lenders on various matters of state and federal law, and has represented banks and other financial institutions in a variety of legal disputes, including unauthorized transactions (including matters under UCC 3, 4, and 4A), commercial collections & foreclosures, bankruptcy, and lender liability.

Along with his banking work, Mr. Ramos maintains a thriving estate planning and successions practice. This includes advising clients on strategies to protect and preserve their assets, maintain stability in their businesses through times of transition, minimize the impact of taxes on their estates, and navigate Louisiana’s complex succession and probate laws. In this respect, Mr. Ramos prepares wills, trusts, powers of attorney, end of life declarations (living wills), medical (HIPAA) authorizations, buy-sell agreements, succession pleadings, and many other documents necessary to allow his clients to achieve their estate planning goals.

In addition to his more specialized areas of practice, Mr. Ramos is also well-versed in matters of business and commercial law, having practiced in this area since the first days of his career. He represents many state and regional businesses, having handled various matters including business formations and restructures, mergers and acquisitions, stock and membership sales, regulatory and administrative issues, employment issues, obtaining financing, purchases of equipment and other assets, and the formation and operation of non-profit entities.

He routinely drafts and reviews company documents (articles, bylaws, operating agreements, resolutions, etc.), leases, master service agreements, employment and noncompetition agreements, purchase agreements, bills of sale, assignments of rights, real estate agreements, construction agreements, and various other contracts. Mr. Ramos also represents businesses and their owners in a wide array of disputes, including breaches of contract, collection of unpaid invoices, unfair trade practice violations, veil piercing/alter ego suits, disputes between owners, the filing of Private Works Act (construction) liens, the filing of Oil & Gas liens, and various bankruptcy matters.

Steven Ramos received his Bachelor of Arts degree from McNeese State University in 1999 (Summa Cum Laude). Thereafter, he attended Louisiana State University, Paul M. Hebert Law Center, where he was a member of the Louisiana Law Review, earning his Juris Doctorate degree in 2003. Mr. Ramos also holds a Master of Laws (LLM) Degree in Taxation from the University of Alabama School Of Law, where he graduated Magna Cum Laude in 2011. He is admitted to all state and federal courts in Louisiana, as well as U.S. Tax Court.

Mr. Ramos is a member of the Louisiana Bar Association, Lafayette Parish Bar Association (Board Member 2011 to present), Lafayette Young Lawyers Association (President 2011), Acadiana Area RMA (President Elect 2015), the705, and the National Association of Insurance and Financial Advisors (NAIFA) Acadiana, among other organizations. He is also a Major in the Louisiana Army National Guard, having served as a JAG officer in various units around the state. In this capacity, Mr. Ramos has been deployed overseas in support of Operation Iraqi Freedom, as well as locally for several hurricanes and other state emergencies.
